1. Agreement to Terms

Welcome to www.kairospire.com (the "Site"), operated by Kairospire LLC ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our Site, including any content, functionality, and services offered (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to all of these Terms, you may not access the Service.

2. Use of the Website

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to: (a) use the Site in any way that could disable, overburden, damage, or impair the Site; (b) use any automated means, such as robots or data mining tools, to access or collect data from the Site without our express written permission; (c) attempt to gain unauthorized access to any part of the Site or any connected systems or networks.

3. Products and Services

Kairospire LLC specializes in the sourcing and supply of insulated drinkware. Our services include:

• Bulk product purchases
• OEM/ODM customization services
• Small-batch orders
• Direct fulfillment and drop-shipping services

All product images, descriptions, and specifications on the Site are for informational purposes and may not represent exact colors, dimensions, or final customization options. We reserve the right to modify or discontinue any product or service without notice.

4. Quotations and Orders

The Site allows you to submit Requests for Quotation ("RFQ") for our products. An RFQ is not a binding order. All orders are subject to our formal written acceptance via a sales order or purchase agreement, which will contain the final price, payment terms, delivery schedule, and other specific terms ("Order Agreement"). We reserve the right to refuse or cancel any RFQ or order at our sole discretion. This includes, but is not limited to, errors in pricing, suspected fraud, or inability to fulfill the order.

5. Pricing and Payment

Prices for products are subject to change. The price applicable to your order will be the price confirmed in the Order Agreement. Payment terms (e.g., deposit required, net payment days) will be explicitly stated in the Order Agreement. You are responsible for any taxes, customs duties, or tariffs applicable to your purchase.

6. Customization and Intellectual Property

For OEM/ODM services, you may provide designs, logos, or specifications ("Your Content"). You represent that you own or have the necessary rights to use Your Content and grant us a license to use it solely to fulfill your order. All intellectual property rights in our pre-existing designs, trade dress, branding, and the Site itself remain the exclusive property of Kairospire LLC.

7. Shipping, Risk, and Title

Shipping costs, methods, and delivery estimates will be specified in the Order Agreement. Title to the products and risk of loss passes to you upon our delivery to the carrier (FOB Origin). We are not liable for delays caused by carriers, customs, or unforeseen events beyond our reasonable control ("Force Majeure").

8. Returns, Refunds, and Warranty

Due to the customized nature of many of our products, all sales are final unless otherwise agreed upon in writing in the Order Agreement. We do not accept returns or offer refunds for custom-made items. For standard bulk items, return requests may be considered on a case-by-case basis and are subject to a restocking fee and your responsibility for return shipping.

We warrant that our products will be free from material defects in workmanship and materials under normal use. THIS WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL KAIROSPIRE LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE OR PRODUCTS, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE OR PRODUCTS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US FOR THE SPECIFIC PRODUCTS GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Kairospire LLC and its affiliates from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of (a) your breach of these Terms, (b) your use of the Service, or (c) your violation of any law or the rights of a third party.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or relating to these Terms or the Service shall be instituted exclusively in the state or federal courts located in Sheridan County, Wyoming. You waive any objection to venue in such courts.

12. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. The "Last Updated" date at the top will indicate when revisions were made. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms.
